1. Who we are

These Terms are a binding agreement between you and WealthScan LLC("WealthScan", "we", "us"), the legal entity operating the WealthScan platform at wealthscan.ai. By creating an account or using the Platform, you agree to these Terms. If you are using the Platform on behalf of an organization, you confirm you have authority to bind that organization.

2. What WealthScan is

WealthScan ("the Platform") is a collaboration and data-management tool that lets individual users ("Clients") capture financial, tax, estate, and household data, and share that data with licensed professional users ("Pros") of their choosing.

3. What WealthScan is not

The Platform is not a registered investment adviser, broker-dealer, insurance agency, certified public accountant, attorney, or any other regulated professional. The Platform does not provide investment, insurance, tax, or legal advice; does not make suitability determinations; and does not guarantee outcomes. Nothing on the Platform is a recommendation to buy, sell, or hold any security or financial product.

4. AI-assisted output

Some features generate AI-assisted recommendations, summaries, calculations, and Strategy Maps. These outputs are draft tools intended for review by a licensed professional and may contain errors or omissions. You are responsible for the prompts you submit, for verifying outputs before acting on them, and for ensuring you have rights to any content you upload. You may not use the AI features to generate unlawful, deceptive, infringing, or harmful content, to attempt to jailbreak the model, or to produce regulated professional advice without licensed human oversight. We may filter, refuse, or remove outputs and may suspend accounts that misuse these features.

5. Payments, subscriptions, and Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment terms, billing frequency, renewals, taxes, and cancellation mechanics are governed by the Paddle Buyer Terms in addition to these Terms. Subscriptions renew automatically at the end of each billing period until cancelled. You can cancel anytime from Settings → Billing or via the Paddle customer portal — see our Refund Policy for our 30-day money-back guarantee.

6. Data ownership & privacy

You own the data you enter. You may export or delete your data at any time. We use standard encryption in transit and at rest and limit access via Row-Level Security. See the Privacy Notice for details on what we collect, how we use it, and who we share it with.

7. Acceptable use

You agree not to use the Platform to deceive, defraud, or impersonate; to upload content you do not have rights to; to violate applicable law; to transmit malware, probe, scrape, or otherwise interfere with the Platform's security or operation; or to resell, sublicense, or redistribute the Platform.

8. Intellectual property

WealthScan retains all right, title, and interest in the Platform, including the software, content, branding, and documentation. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Platform within the plan you have purchased.

9. Suspension and termination

We may suspend or terminate your access to the Platform, with or without notice, for: (a) material breach of these Terms, (b) non-payment of fees, (c) suspected fraud or security/abuse risk, or (d) repeated or serious violations of our acceptable-use policy. On termination, your right to use the Platform ends; you may export your data for 30 days after which we may delete it (subject to the Privacy Notice).

10. Disclaimer of warranties; limitation of liability

The Platform is provided "as-is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. We do not guarantee uninterrupted or error-free operation. To the maximum extent permitted by law, WealthScan and its affiliates are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, goodwill, data, or use, arising from your use of the Platform or any output produced by it. Our aggregate liability for any claim is capped at the fees you paid us in the 12 months preceding the event giving rise to the claim.

11. Indemnity

You agree to indemnify and hold WealthScan harmless from claims arising out of content you upload, your unlawful use of the Platform, or your breach of these Terms.

12. Changes

We may update these Terms. Material changes are versioned and pros are re-prompted to accept on next sign-in. Continued use after changes constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the jurisdiction in which WealthScan is established, without regard to conflict-of-laws principles. Disputes will be resolved in the courts of that jurisdiction, unless mandatory law of your residence provides otherwise.
